Experience

Sean’s practice focuses on corporate and international tax matters. He has extensive experience representing multi-national clients on a variety of tax transactions, including mergers, acquisitions, dispositions, restructurings, spin-offs and liquidations. He also has significant experience with the consolidated return regulations and section 382 issues. From 2003 to 2007, Sean worked in the Office of Associate Chief Counsel (Corporate) at the IRS, where he worked on published guidance, technical advice memoranda, private letter rulings and other matters concerning corporate tax transactions and issues. In addition, he has participated as a panelist in ABA programs addressing corporate taxation and the consolidated return regulations. Sean has recently acted for: ThyssenKrupp on the sale of its U.S. steel plant to ArcelorMittal and Nippon Steel & Sumitomo Metal Corp; Cookson on the demerger of its Performance Materials division to Alent; EnCana on its spin-off of Cenovus Energy; and Applied Materials on its acquisition of Varian Semiconductor Equipment Associates.
