Linklaters is advising Portugal-based international transportation company, Brisa – Autoestradas de Portugal (Brisa), listed on Lisbon’s stock exchange, in the context of its entry into exclusive negotiations with VINCI Autoroutes (together with its subsidiaries ASF and ESCOTA), Eiffage group through APRR and AREA, Société Française du Tunnel Routier du Fréjus, and Société Concessionnaire Française pour la Construction et l’Exploitation du Tunnel Routier sous le Mont Blanc, regarding the contemplated sale of 100 % of the share capital and voting rights of Axxès, a leading provider of electronic tolling services for trucks, buses, and other utility vehicles across Europe.
Axxès would bring to Brisa a modern tolling and fleet management platform, strong innovation capabilities and a diversified client base. The contemplated transaction would consolidate Via Verde, Brisa’s brand, as a key player in the European electronic tolling market and reinforces its active role in decarbonizing mobility.
The contemplated transaction remains subject to consultation with the relevant employee representative bodies of Axxès, as well as to customary closing conditions, including regulatory approvals.
