Overview
Marly specialises in all types of global sourcing, supply chain and technology arrangements. She has particular expertise in complex business carve-outs and integrations and works across sectors including healthcare, consumer, financial sponsors, media, telecoms, financial services and data-driven businesses. She is also the Global Co-Head of the firm’s Healthcare and Life Sciences sector.
Marly supports clients throughout the full lifecycle of their most important transformations and projects, from initial structuring and procurement to contentious and non-contentious renegotiations and terminations. Her deals often involve cutting-edge uses of technology, data and supply chain, often within complex regulatory frameworks.
She is also experienced in media and broadcasting transactions and related regulation, having been seconded to both the BBC and Ofcom.
Marly is ranked in the Hall of Fame for Commercial Contracts and for Life Sciences & Healthcare in Legal 500, as well as being ranked in Chambers for IT & Outsourcing, in MergerLinks’ top 5 leading female M&A lawyers in EMEA specialising in commercial carve-outs, and was voted one of the Hot 100 Lawyers by The Lawyer for her sourcing work.
Work Highlights
Marly’s experience includes advising:
- Gavi: on establishment of the COVAX Facility (which saved 2.7 million lives) for the funding and allocation of COVID vaccines globally, including on arrangements with global vaccine manufacturers; and the establishment and implementation of the African Vaccine Manufacturing Accelerator.
- Nestlé: on its ‘lighthouse’ digital warehouse transformation project, which included the design, development and ongoing management and service provision of a new intelligent UK logistics and distribution centre, and the carve-out and sale of its skin health division, Galderma, together with related global supply and distribution arrangements.
- Montagu: on the acquisition of Informa’s Maritime Intelligence and EFPR divisions, including advice on complex, business-critical data licensing issues, and advising on their US$340m carve-out acquisition of the flexographic printing division of Kodak, including a number of critical supply chain arrangements.
- A market-leading global pharmaceutical company: on a number of business-critical mandates, including a global technology transformation project, global facilities management outsourcing, and its involvement in a consortium exploring blockchain in the R&D space.
- Takeda: on its global supply and distribution templates, and on the carve-outs of its global respiratory product portfolio and its haemostasis product TachoSil, together with related global distribution agreements and long-term critical global supply agreements.
- Perfetti Van Melle: on the complex separation and supply chain issues pertaining to its $1.35bn acquisition of Mondelez’s gum business, including critical and novel system separation and data migration issues central to the value of the transaction.
