Overview
Lucy is a company law specialist with particular expertise advising listed and private companies and banks on returns of cash to shareholders and complex restructurings. She is also a trusted advisor to many listed companies, advising on all aspects of company law, UK Listing Rules and the Market Abuse Regulation.
Work Highlights
- advising multiple issuers on their share buyback programmes, including Anglo American, BAE Systems, Balfour Beatty, Britvic, CMC Markets, IG Group, Lloyds Banking Group, NatWest Group, Sainsbury’s, Tate & Lyle, Travis Perkins, Unilever, Vesuvius and Vodafone
- advising NatWest on its off-market share purchases from HM Treasury, being related party transactions under the UK Listing Rules
- advising NatWest on its £1.75bn special dividend and share consolidation
- advising Metro Bank on its New Topco scheme of arrangement
- advising Anglo American on the demerger and listing of its South African thermal coal operations, Thungela Resources
- advising Travis Perkins on the demerger and listing of Wickes
- advising Jefferies as broker on the B Share Scheme by River and Mercantile and the tender offer by Aviva
- advising FTSE 250 companies on bonus issues and reductions of capital
- advising FTSE 250 companies on circulars in connection with prior unlawful dividends and unlawful share buybacks
Lucy is Chair of the Company Law Committee of the Law Society of England and Wales, a member of the Confederation of British Industry’s Capital Markets Working Group and a member of the Accounting, Reporting and Governance Committee of the British Private Equity and Venture Capital Association. She represents the firm in discussions with industry bodies, regulators and the government on the development of new legislation and guidance that will affect our clients.
