Overview
Nina represents a broad range of clients on the U.S. federal income tax aspects of domestic and cross-border transactions. She focuses on advising institutional and sovereign investors in connection with their investments across a variety of asset classes, as well as investment funds and their managers on fund formation and structuring matters.
Nina has extensive experience acting for some of the world's largest sovereign wealth funds and major pension funds across the Middle East, Asia, and North America and a range of other institutional investors in connection with their fund investments. She also advises clients with respect to debt and equity offerings, securitization transactions, derivatives and other financial products.
Experience
- Major Sovereign Wealth Funds and Sovereign Canadian Pension Plans: advising on U.S. tax issues with respect to substantial investor commitments to various private equity, infrastructure and credit funds, including direct investments, co-investments, managed accounts, strategic partnerships, GP revenue share participation arrangements, and secondary transactions.
- Triton Partners: advising on the structuring of its investment funds and portfolio investment activity.
- Global Asset Manager: advised on the establishment of its real estate debt strategy fund.
- Various U.S. and European investment banks: advising on issuance of structured products and securitization transactions.
- Moolec Science Limited: advised on $504 million de-SPAC transaction.
- Multinational Automotive Company: advised on the listing of its global commercial vehicle business on the Frankfurt Stock Exchange following spin off from the parent company.
