Overview
Eugenie is a Senior Managing Associate in the corporate M&A practice in Luxembourg, with a uniquely broad practice across private and public M&A and listed company advisory.
Her practice spans complex cross border private and public mergers and acquisitions, multi jurisdictional reorganisations and carve outs, as well as full spectrum equity capital markets (including initial public offerings, SPACs and demergers, capital increases, convertibles and secondary offerings). She advises listed companies on ongoing regulatory and governance matters, including market abuse, transparency, corporate actions and ESG topics such as the CSRD and board diversity.
Eugenie has a strong private capital focus, acting notably for financial sponsors on private capital transactions, co‑investments, joint ventures and portfolio management, and is experienced in structuring investment vehicles, including for audit firms.
Her practice combines deep technical analysis with a strong focus on execution, coordinating international teams and aligning corporate, regulatory and disclosure workstreams to deliver clear, workable outcomes for clients. She has a strong interest in the practical use of technology and artificial intelligence to enhance the delivery of legal services, and is an early adopter of legal project management techniques and innovation tools on complex mandates. Eugenie is further a regular speaker at client facing events.

- HQLAx: advising a Luxembourg‑based, CSSF‑licensed fintech company on its Series C‑1 equity funding round, including the issuance of new shares to strategic investors Broadridge and Digital Asset.
- Montagu Private Equity: advising on the strategic acquisition and integration of Tyber Medical with Intech and Resolve Surgical Technologies, creating a consolidated original equipment manufacturer (OEM) platform in the med-tech sector through a multi-layered merger and incentive structure.
- A major shareholder of a Luxembourg listed company: advising on the sale of a minority stake in a Luxembourg listed company via an accelerated bookbuilding process to institutional investors.
- IFM Global Infrastructure Fund: advising IFM GIF on the acquisition of Green Group AG, a Swiss-based digital infrastructure platform operating hyperscale and enterprise data centres, from InfraVia Capital Partners.
- Triton Partners: advising this leading private equity firm on (i) the sale of the holding company of Bormioli Pharma, a top-tier producer of pharmaceutical packaging, to Gerresheimer, an innovative systems and solutions provider and global partner for the pharma, biotech, and cosmetics industries, (ii) the partial exit by Triton and management from the RENK group, a prominent manufacturer of mission-critical drive solutions across governmental and industrial markets, through a private placement and (iii) the sale of a co-controlling stake in IFCO Group, a global provider of sustainable pooling and reusable packaging solutions for fresh foods, to Stonepeak, a global alternative investment firm specialising in infrastructure and real assets.
- Allianz Direct: advising on its acquisition of Luxembourg iptiQ’s European Property and Casualty business from Swiss Re, involving a Luxembourg risk carrier with branches in six European countries and over 100 employees.
- A global leader in infrastructure: advising on the strategic reorganisation and partial divestment of a pan-European data centre platform, including the carve-out of 36 stabilised assets across Spain, Italy and France, and the implementation of a long-term management framework to support future operational continuity.
- DigitalBridge and Vantage Data Centers: advising DigitalBridge and Vantage Data Centers on a €1.4bn investment by GIC and MEAG in Vantage Data Centers' EMEA data centre platform.
- Moolec Science Limited: advising on the business combination with LightJump Acquisition Corporation, which resulted in a newly formed holding company of the combined entity, Moolec Science SA, which listed on Nasdaq.
- RTL Group SA: advising on the public share buyback offer of up to 4,000,000 shares on the Luxembourg Stock Exchange and the Frankfurt Stock Exchange by means of an auction-based price discovery mechanism and the implementation of a share buyback programme through open-market transactions
- Zeus Capital Limited, as sole bookrunner: advising on the first private placement of the shares of a Luxembourg securitization vehicle owning an artwork ("Three Studies for a Portrait of George Dyer" painting by Francis Bacon) listed on the first trading platform for art, Artex MTF, a Liechtenstein multilateral trading facility.
- Arrival: advising the company creating electric vehicles on its US$5.4bn business combination with CIIG Merger Corp. (CIIG), a US ‘SPAC’ listed on the NASDAQ. The newly combined company will be listed on the NASDAQ under the new ticker symbol “ARVL".
