Overview

Mohammad is a Counsel in Linklaters' Riyadh office, specialising in capital markets, M&A, and investment funds across Saudi Arabia and the wider Middle East. He advises issuers, underwriters, financial institutions, and government entities on high-profile equity and debt offerings, including IPOs on Tadawul, Reg S offerings, rights issues, and sukuk programmes worth billions of dollars. His transactional experience also covers public and private M&A, real estate funds, and corporate governance for listed companies. 

Mohammad has played a central role in several landmark transactions, including the US$1.8 billion dual listing of Americana Restaurants on the Abu Dhabi Securities Exchange (ADX) and the Saudi Exchange; the US$15 billion merger of Samba Financial Group and the National Commercial Bank to create the Saudi National Bank; and the Public Investment Fund's inaugural US$3.5 billion sukuk issuance. He regularly advises on complex regulatory and structuring issues under the rules of the Capital Market Authority and other Saudi regulators.

Experience

  • Center3: advising center3, a wholly-owned subsidiary of stc, on the acquisition of CMC Networks, a global service provider offering network solutions across the Middle East and Africa, from Carlyle.
  • The Saudi Industrial Investment Group (SIIG): Advising The Saudi Industrial Investment Group on its SAR 3.048 billion (approximately US$812.8m) share swap acquisition of the National Petrochemical Company.*
  • Americana Restaurants PLC: advised the financial advisors, bookrunners, underwriters and lead manager on the US$1.8 billion dual and concurrent IPO on ADX and the Saudi Exchange (named Equity Deal of the Year at the IFLR Middle East Awards 2023).*
  • Samba Financial Group: advised on the US$15 billion statutory merger with the National Commercial Bank, creating the largest bank in Saudi Arabia (the Saudi National Bank), the largest banking merger in the Middle East.*
  • Al Rajhi Bank: advised on the establishment and drawdown under its SAR 10 billion public sukuk programme listed on Tadawul.*
  • Saudi Aramco Base Oil Company (Luberef): advised on the US$1.3 billion Reg S IPO on the Saudi Exchange (Tadawul).*
  • stc: advised on the US$2.25 billion acquisition of a 9.9% stake in Telefonica.*
  • BSF Capital: Advising the financial advisor and underwriter on the IPO of Tamkeen Human Resource Company on the main market of Tadawul.
  • Rabigh Refining and Petrochemical Company (Petro Rabigh): advised on the SAR 7.95 billion (approximately US$2.12 billion) rights issue.*
  • Diriyah Gate Development Company: advised on the privatisation and acquisition of Diriyah Sports Club.

Education, Qualification and Lanuages

Mohammad holds a Juris Doctor (J.D.) from Syracuse University College of Law, New York, and a Bachelor of Laws (LL.B.) from Prince Mohammad Bin Fahd University, Al-Khobar, Saudi Arabia. He is admitted to practise in the Kingdom of Saudi Arabia, New York, and Washington DC. Mohammad is fluent in Arabic and English.
