Thomas is an associate in our Latin American Corporate Finance practice. He specialises in advising clients in the telecoms, food, mining and energy sectors across Latin America, with a particular focus on capital markets and banking transactions.
At Linklaters, Thomas has supported clients in a range of notable financings and securities offerings in the Americas, with experience acting for issuers, initial purchasers, borrowers and lenders. His recent matters include advising on substantial bond issuances and sophisticated cross-border facilities.
Experience
Telecom Argentina S.A.: (i) advising the lead structuring banks BBVA, Deutsche Bank and Banco Santander on the provision of a $970 m syndicated term loan to a leading Argentine telecommunications company, for the acquisition of Telefónica Móviles Argentina S.A.; (ii) advising the initial purchasers in connection with Telecom Argentina’s 144A/Regulation S cross-border offering of US$800 million 9.250% senior notes due 2033.
CODELCO (Corporación Nacional del Cobre de Chile): advising CODELCO on its offering of $1 billion 5.529% senior notes due 2037 and on the reopening of its 6.300% senior notes due 2053 for $250 million. The offering was conducted in the United States under Rule 144A and as an offshore offering in reliance on Regulation S.
Vista Energy Argentina S.A.U.: (i) advising Banco Santander, S.A. on the provision of a $300m term loan to Vista Energy Argentina S.A.U. for the acquisition of Petronas E&P Argentina S.A.; (ii) advising Banco Santander, S.A., Citicorp North America, Inc. and Itaú Unibanco S.A., Nassau Branch on the provision of an up to $600m term loan to Vista Energy Argentina S.A.U. for the acquisition of the capital stock of Equinor Argentina S.A.U. and working interests in the Bajo del Toro and Bandurria sur blocks.
City of Buenos Aires: advising the initial purchasers in connection with the City of Buenos Aires' US$600 million issuance of 7.800% notes due 2033 under its Medium-Term Note Program listed on the Luxembourg Stock Exchange.
Pan American Energy, S.L. Argentine Branch: advising Citigroup Global Markets Inc., Itau BBA USA Securities, Inc., J.P. Morgan Securities LLC and Santander US Capital Markets LLC as initial purchasers of the US$400m 8.500% Senior Notes due 2032 issued by one of the largest oil and gas producers in Argentina.
