Overview
Begoña is a partner in the banking and finance practice in Madrid. She advises on domestic and cross-border financing transactions, including leverage finance, investment grade, real estate financings, structured lending and energy and infra financings. She has broad expertise in refinancing and restructuring deals, with special experience in Spanish schemes of arrangement (homologación judicial). In addition, she can also turn her hand to securitisation, capital markets, private equity (PE) and M&A transactions, when required.
During the last years, Begoña has been ranked by Chambers as “up and coming” lawyer, being recognised for her assistance with complex acquisition finance and debt restructuring mandates, where she acts for prestigious lenders and borrowers. In addition, Legal 500 recognises her as “next generation partner” in Banking and Finance.

Begoña delivers master classes in financing transactions and security structuring at the Comillas Pontifical University. She has also lectured on finance in the Valencia courts under a training programme for judges and lawyers.

Highlights of her most outstanding experience includes, among others:
- Advising the lenders on the €6.6bn financing supporting the merger between MásMóvil Group and Orange Spain (this deal was awarded “Deal of the Year” in Spain by Expansión in 2023)
- Advising TDR Capital and I Squared Capital on the financial aspects of the successful €1.65bn competing takeover offer for Applus Services.
- Advising Masdar (Abu Dhabi Future Energy Company) on the financial aspects of its strategic alliance with Endesa in the renewables sector in Spain, which will mark a turning point in the market, with total value of around €1.7bn.
- Advising Pemberton (i) on the financing granted to A&M Capital Europe-backed Ayesa’s refinancing and its acquisition of Ibermática; as well as (ii) on the financing for CVC’s acquisition of Neolith.
- Advising Tensile Capital Management and Portobello Capital on financing for the acquisition of petrol station operator Plenoil.
- Advising Ares on the financing in relation to the awarding of two concession agreements for developing c. 3,600 build-to-rent homes in Madrid.
- Advising CVC and Grupo Lecta on the financial aspects of the reorganisation of its capital structure in the context of the acquisition of Grupo Lecta by several bondholders
- Advising Tendam (a CVC and PAI portfolio company) on the solvent refinancing of its financial debt through a high yield bond issuance and bank debt financing.
- Advising Acciona on the €230m “samurai” loan in the Japanese market (first by a Spanish company) including a sustainable financing structure, with the support of 17 banks led by MUFG and Mizuho.
- Advising Vauban Infrastructure Partners and Crédit Agricole Assurances on the financing for the acquisition of a 45% stake of Bluevía Fibra, the rural fibre business of Telefónica.
