Overview

David provides advice on general U.S. corporate matters and M&A, which includes public and private M&A, private equity, venture capital, disclosure and reporting issues, and equity capital markets transactions. He has experience in US domestic and cross-border M&A transactions, ranging from early-stage venture capital investments to large public company deals, carve outs, acquisitions, strategic investments and joint venture transactions. David is licensed to practice in Ontario, Canada and New York.

Work Highlights 

David has advised on the following matters:

  • Rio Tinto plc in the acquisition of Arcadium Lithium plc for $6.7 billion.
  • BoA, Barclays, BNP Paribas, Citigroup, Deutsche, Goldman Sachs, HSBC, JPMC, Morgan Stanley, Societe Generale Group, SSB Investments and UBS in connection with the merger sale of AcadiaSoft Inc. a provider of automated services for the global derivatives community, to the London Stock Exchange Group plc for c.$700 million.
  • Morgan Stanley in connection with the sale of Vewd Software AS, a B2B software company headquartered in Norway, to Xperi Holding Corporation for $109 million.
  • Mubadala Capital in their co-investment in Thrive Capital Partners IX Growth-C, LLC to participate in the Series J round of funding of DataBricks, Inc.
  • CDPQ in their co-investment into Kingfisher Holding, L.P for up to $1.4 billion.
  • Leadenhall Capital Partners LLP in connection with their equity investment in Friday Health Plans, a health insurance company based in Denver Colorado.
  • Qatar Investment Authority in connection with a number of co-investments in US companies (including Anaplan Inc. and Cardiovascular Medicine, P.C.).

Beyond the Office

Prior to working at Linklaters, David practiced at a Canadian national firm.

Education and qualifications

David holds a Juris Doctor and Master of Business Administration from the University of Toronto Faculty of Law and Rotman School of Management.
