Overview
Florian is Senior Associate (Knowledge) for EU Capital Markets. He advises banks, financial institutions and investors as well as companies on financial derivatives (interest rate, equity, FX, commodity and energy derivatives), securities lending and repo transactions as well as OTC clearing.
One focus is on advising on ESG-related capital market products.
Experience
- leading banks and investment funds: regularly advising on OTC financial derivatives transactions on the basis of the German Master Agreement for Financial Derivatives Transactions (DRV) and the ISDA Master Agreement (in particular interest, currency and credit derivatives), including advising on loan hedging transactions, insolvency law matters (close-out netting/trade collateral) as well as related regulatory issues (EMIR obligations/Clearing Agreements/EMIR Addenda).
- International Swaps & Derivatives Association (ISDA) (for ISDA members): advising on the impact of Brexit on derivatives portfolios and in particular, the impact on the documentation obligations (BRRD obligations on recognition of Stays and Bail-ins).
- various leading investment banks: advising on the establishment and expansion of their OTC derivatives offering to German clients, including:
- drafting a number of standard DRV-based documents for interest rate, equity and FX derivatives trading, transferring large derivatives portfolios from London-based entities to German-based entities (ongoing Brexit advice),
- drafting and negotiating EONIA and IBOR supplemental agreements with counterparties, and
- advising on regulatory compliance matters (e.g. drafting supplemental opinions in relation to counterparties not covered by market opinions, EMIR compliant VM- and IM-collateralisations).
- leading European and US investment banks: advising in connection with CO₂ emissions trading on the basis of the German Master Agreement for Financial Derivates Transactions (DRV), including advice on the transition to the new trading phase (Phase IV), on issues relating to emission allowance trading accounts (e.g. the establishment and structuring of new trading accounts in Germany after the "Brexit") and the documentation of the transition between trading phases.
- an investment bank: advising on EONIA / €STR- and IBOR transition-agreements relating to derivatives master agreements with a number of counterparties, including supporting with the drafting of relevant fallback arrangements and the negotiations with counterparties.
- investment banks: advising on insolvency issues of OTC-derivatives, repo and securities lending transactions, including writing supporting with default processes and providing netting and set-off opinions.
