Overview
Juan María is a Spanish counsel in Linklaters Madrid capital markets practice and leads its structured finance practice in Madrid. He has broad experience in a wide range of capital markets transactions and products, including securitisation products (RMBS, NPLs, ABS (auto, consumer, trade receivables, ESG, etc.) and synthetic securitisations), bond issuances of all types, equity transactions (IPOs, rights issues and accelerated bookbuilt offers), equity-linked securities and liability management transactions.
Chambers ranks him in its 2024 Global Guide as “up and coming” in Securitisations & Derivatives and he was awarded with the Iberian Lawyer “Forty under 40” award for capital markets in Spain and Portugal for 2020.

- Advising Société Générale and BBVA, as Joint Arrangers and Joint Lead Managers, in the c. EUR 1bn Auto ABS STS securitisation originated by BBVA and structured through the Spanish securitisation fund BBVA CONSUMER AUTO 2024-1, FONDO DE TITULIZACIÓN.
- Advising Société Générale and Banco Sabadell, as Joint Lead Managers, in the EUR 759,200,000 Consumer ABS STS securitisation originated by Banco Sabadell and structured through the Spanish securitisation fund SABADELL CONSUMO 3, FONDO DE TITULIZACIÓN.
- Advising an international funds manager in the incorporation of a Spanish securitisation fund with compartments pooling Shariah compliant receivables.
- Advising an international funds manager in the incorporation of a Spanish securitisation fund with 4 compartments pooling consumer financing receivables.

- Advising an international funds manager in its subscription of EUR 90m Notes issued by compartments 1, 2 and 3 of the Spanish securitisation fund with compartments TWC NOTES, FONDO DE TITULIZACIÓN.
- Advising Banco de Sabadell, S.A. in a synthetic STS securitisation for the transfer of the first-loss tranche in a c. EUR 1bn. portfolio of project finance loans through the issuance by Sabadell Boreas 1-2022 Designated Activity Company of EUR 105m Credit Linked-Notes.
- Advising Barclays Bank Ireland PLC, as structuring bank and senior lender, in the incorporation of the Spanish securitisation fund PERFECTA SOLAR RESIDENCIAL, FONDO DE TITULIZACIÓN, one of the first ESG Spanish securitisation funds, for the warehouse financing of Perfecta Solar Energía’s residential PV self-consumption business.
- Advising Casavo, an Italian proptech, in the extension to Spain of its EURO 300m pan-European securitisation structure.
