Jurian van der Pas is a tax lawyer in Linklaters' Amsterdam office, specialising in the domestic and international tax aspects of private equity and M&A transactions, including the structured financing, refinancing and securitisation of these deals.
Linklaters' tax department in Amsterdam is best known for its work on complex cross-border private equity, M&A, capital markets and financing matters, and Jurian is one of the key lawyers driving this practice. He advises leading investors, financial institutions and corporates on the tax structuring and execution of their most significant transactions, combining robust technical expertise with a sophisticated understanding of market practice to deliver clear, commercially focused advice on high-profile mandates.
Jurian's day-to-day practice covers a broad range of tax advisory work, including:
Structuring transactions — drafting and reviewing tax structure memoranda and tax opinions for complex cross-border acquisitions, leveraged buyouts, joint venture structures, investment fund formations, securitizations and financing transactions.
Identifying and managing tax risk — advising on the tax implications of proposed transaction structures, identifying key risks (including under ATAD, hybrid mismatch rules and DAC6) and recommending mitigating measures before and during execution.
Engaging with tax authorities — preparing and submitting ruling requests to the Dutch tax authorities and managing the dialogue with tax authorities where disputes or uncertainties arise.
Supporting financing and securitisation transactions — advising on the Dutch and international tax aspects of debt financings, intercompany financing, asset-backed securitisations and structured credit transactions.
Post-acquisition and restructuring work — advising on post-closing reorganisations, debt restructurings and refinancings and the unwind or restructuring of existing structures.
His practice spans private capital, private equity and financial sponsors, banks, and real estate sectors.
Jurian studied law at the University of Amsterdam and the University of Utrecht, obtaining a bachelor's degree in Dutch law and Dutch tax law as well as a Master's degree in International and European tax law. He also gained a Master's degree in Chinese civil and commercial law from Peking University.
