Overview
Rachel’s practice focuses on international finance. She has experience with debt and equity capital markets and regulation; structured finance and securitizations; and cross-border banking, including leveraged finance and DIP finance. Rachel also has experience with funds formation and investment activities.
Rachel has advised clients on a wide range of complex international transactions. These include acting for both the issuer and underwriters’ side on SEC-registered and exempt equity and debt offerings and residential mortgage-backed securities. Additionally, Rachel advises clients with respect to a variety of derivative transactions and has represented private equity funds on funds formation and fund-related investment activities.
Work Highlights
- Cerberus: advising on its global issuances of residential mortgage-backed securities.
- An ad hoc group of holders of secured notes issued by the holding company of Toys “R” Us’s international business: advising in the cross-border debtor-in-possession financing.
- The arranger of a commodity financing: advising on a transaction involving a spot purchase and forward sale of the commodity through a special purpose vehicle, with third party financing.
Education and Qualifications
Rachel studied urban studies at Barnard College, and holds a Juris Doctor from NYU School of Law.
