Wendy is a Counsel in the Linklaters’ Mergers and Acquisitions team in New York.
Her practice includes public and private mergers and acquisitions, including domestic and cross-border transactions, carve-outs, divestitures, joint ventures, reorganizations, minority investments, tender offers, activist matters and corporate governance matters.
Experience
Work experience includes representation of:
- Volkswagen: advising on a US$5.8bn investment and electric vehicle technology joint venture with EV manufacturer Rivian.
- BASF: advising on its US$1.15bn sale of its Brazilian decorative paints business to Sherwin-Williams.
- Dow: advising on:
- its partnership transaction with Macquarie Asset Management to launch US$6bn Diamond Infrastructure Solutions.
- its transaction with DuPont involving the US$130bn combination of the two companies, its subsequent separation into three publicly traded entities and the resulting US$50bn spin-off of Dow Inc.
- Celanese Corporation in its transaction with Mitsui & Co. to form Nutrinova, a food ingredients joint venture.
- The Chefs’ Warehouse in its acquisition of Chef Middle East, a leading distributor of specialty food and beverage products in the United Arab Emirates, Qatar, and Oman, from Gulf Capital.
- SPX Technologies in its divestiture of three subsidiaries that hold asbestos liabilities and certain assets, including related insurance assets, to an entity formed by a joint venture of Global Risk Capital and Premia Holdings.
- Celanese on the restructuring of Korea Engineering Plastics Co., a joint venture owned 50% by Celanese and 50% by Mitsubishi Gas Chemical Company.
- Specialty chemicals company LANXESS on its US$1.075bn acquisition of Emerald Kalama Chemical from American Securities.
- Liberty Global in connection with its US$2.5bn modified Dutch auction tender offers.
