Her practice includes public and private mergers and acquisitions, including carve-outs, divestitures, joint ventures, reorganizations, minority investments, activist matters, takeover defense strategies and corporate governance matters.
Work Highlights
Yiting’s recent deal highlights include advising*:
- Dow: advising on its partnership transaction with Macquarie Asset Management to launch US$6bn Diamond Infrastructure Solutions.
- Ardagh Group S.A. in the US$8.5bn combination of its metal packaging business with Gores Holdings V, Inc., a special purpose acquisition company (SPAC), and its offer to exchange all of its publicly traded shares for shares of Ardagh Metal Packaging S.A. and its subsequent delisting from the New York Stock Exchange.
- Canada Pension Plan Investment Board in its US$6.1bn acquisition of NASDAQ and TSX-listed Pattern Energy Group Inc. and its agreement with Riverstone Holdings LLC to subsequently combine Pattern Energy Group Inc. with Pattern Energy Group Holdings 2 LP to create an integrated renewable energy company.
- Dow Chemical in its US$130bn transaction with DuPont involving the combination of the two companies, the subsequent separation into three public companies and the resulting US$50bn spin-off of Dow Inc.; and the sale of its acid copolymers and ionomers business to SK Global Chemical Co.
- LyondellBasell Industries N.V. in its US$2.25bn merger with A. Schulman, Inc.
- Mubadala Investment Company, in its agreement to acquire, through Mubadala Capital, its wholly owned asset management subsidiary, with members of Fortress management, of SoftBank Group Corp.’s 90.01% equity interest in Fortress Investment Group.
- Paramount Global (f/k/a ViacomCBS Inc.) in its US$1.6bn sale of Simon & Schuster to an affiliate of KKR; and its acquisition of the Chilevisión television channel from WarnerMedia, a division of AT&T.
