Overview

Yohann Smadja is counsel in the Corporate/M&A team.

Yohann is involved in domestic and cross-border transactions, including public and private mergers and acquisitions, as well as corporate governance, securities law, and group reorganizations. He advises listed and unlisted companies across various sectors such as healthcare, technology, consumer goods, media, and telecommunications.

Capgemini: advising on the acquisition of Cloud4C, a leader in hybrid cloud platform services.
OneWeb, a low earth orbit broadband satellite communications company: advising on its combination with Eutelsat Communications, a listed French satellite and telecommunications company.*
Safran: advising on the carve out and sale of its cabin catering business located in the Netherlands, Thailand and the US to Hivest Capital.*
Capgemini: advising on the acquisition of BTC Corporation (one of the leading digital and cloud service providers in Japan).*
Lumibird (European leader in laser technologies and listed French company): advising on its acquisition of Convergent Photonics (with operations in Italy and the United States).*
Diageo: advising on the sale of the Picon brand to Campari (French aspects only).*
JDE Peet's: advising on the acquisition of the Les 2 Marmottes group.*
Korian: advising on a real estate investment agreement with several pension funds of BAE Systems, advised by Elevation.*
Alstom: advising on the acquisition of Bombardier Transportation (from signing to closing).*
Worldline: advising on the acquisition of Ingenico by way of a public tender offer.*
Lumibird: advising on the acquisition of Ellex’s Lasers & Ultrasound division (Australian listed company).*
Sulo Group (formerly Plastic Omnium Environnement): advising on the acquisition of the San Sac group (Scandinavian group) through a build-up transaction (following the primary leveraged buyout mentioned below).*
Latour Capital and Bpifrance: advising on the acquisition of the Plastic Omnium Environnement group through a primary leveraged buyout.*
Showroomprivé (listed French company): advising on the entry into a commercial partnership and a shareholders’ agreement with Carrefour and the transfer of Conforama’s minority stake to Carrefour.*
Showroomprivé and its founders: advising on the sale of a minority block of Showroomprivé, and the entry into a strategic partnership and a shareholders’ agreement with Conforama.*
Quantel (listed French company) and Keopsys: advising on their combination structured as a contribution in kind of Keopsys shares to Quantel.*
Natixis: advising as presenting bank on the public tender offer by Silver Lake Partners and AltaOne Capital for Cegid Group. *
Bank of America Merrill Lynch: advising as presenting bank on Campari’s public tender offer for Grand Marnier.*

Capital Markets

SCOR: advising on the implementation of a contingent capital program in the form of share subscription warrants with J.P. Morgan SE, as part of the renewal, for three years, of the Group’s contingent capital program.
the syndicate of arrangers and initial purchasers: advising on OVHcloud’s landmark €1.15 billion financing package to support its public share buyback and the refinancing of existing debt.
Barclays as global coordinator and Deutsche Bank and ING as joint bookrunners: advising on the capital increase with shareholders' preferential subscription rights launched by Atos for a gross amount of €233m.
EasyJet: advising on a share capital increase of approximately EUR 1.4 billion (via a public offering in the United Kingdom, France, Spain, Germany and Italy).*
Alstom: advising on a share capital increase with preferential subscription rights for an amount of approximately EUR 2 billion.*
Showroomprivé: advising on a share capital increase with preferential subscription rights as part of a financial restructuring.*
Lumibird: advising on a private placement share capital increase and a share capital increase with preferential subscription rights.*
Silver Point Capital: advising on the refinancing of Novasep through an exchange offer of existing United States law governed notes for the issuance of French-law governed bonds with share subscription warrants (OBSAs).*
BNP Paribas and Credit Suisse: advising on CGG’s EUR 350 million share capital increase with preferential subscription rights. *

Reorganizations

A group of minority investors and secured bondholders: advising on the financial restructuring of the Société Phocéenne de Participations (SPP), the holding company of the Bourbon group, and certain of its subsidiaries alongside a consortium composed of Davidson Kempner Capital Management and Fortress Investment Group.
Rothschild & Co: advising on the reorganisation of its private banking and asset management activities following the acquisition of Banque Martin Maurel by Rothschild & Co.*
Lumibird: advising on the reorganisation of its laser activities.*

Corporate governance

Advising numerous listed French companies on corporate governance and securities law matters (including Valeo, Maurel & Prom, Alstom, Worldline, Lumibird, etc.).*

Outside the office

Prior to working at Linklaters, Yohann worked several years as an associate for Cleary Gottieb Steen & Hamilton LLP and Herbert Smith Freehills LLP.

Education, Qualifications and Languages

Yohann holds a Master 2 in Business Law from the University of Paris II Panthéon-Assas and a Master's degree in Business Law (DJCE).

He is registered with the Paris bar.
