Alejandro is a partner in the tax department in Madrid. He has extensive experience advising Spanish and international companies, private equity houses and financial institutions on the tax aspects of cross-border mergers and acquisitions, leveraged acquisitions, capital markets and structured finance products, real estate transactions, and tax litigation.
Alejandro is highly regarded in his field, having been ranked by Chambers as a "leading individual" in Tax: Elite and by Legal 500 as a "leading partner". He is praised for being “commercial and creative” and for his ability to “explain complex situations in a simplified and understandable way”. Clients value his innovative solutions and his availability during high-pressure, fast-paced projects. Highlights of Alejandro’s most relevant experience includes:
- Advising on all tax aspects of outstanding takeover offers, including the launched by: (i) TDR Capital and I Squared Capital over Applus Services; (ii) the consortium formed by Globalvía and Kinetic over Go-Ahead; and (iii) IFM Investors over Naturgy.
- Advising on the tax aspects of many M&A energy and infra-related transactions in Spain, such as: (i) EQT Infrastructure and Blackstone Infrastructure on their acquisition of Urbaser from funds managed by Platinum Equity; (ii) Moeve and its shareholders Carlyle and Mubadala on the merger, valued at more than €15,000 million, of the industrial and retail businesses of Moeve and Galp in the Iberian Peninsula; (iii) MasOrange on the formation, together with Vodafone, of the largest FibreCo in Europe, which will provide coverage to 12 million households; (iv) the €2.5bn acquisition by Vauban Infrastructure Partners and Crédit Agricole Assurances of a 45% stake of Bluevía Fibra, the rural fibre business of Telefónica; (v) the €905m acquisition by Crédit Agricole and EIP of a 25% stake in Repsol Renovables; (vi) the sale by Ardian to Naturgy of 100% of ASR Wind for €650m; (vii) the acquisition by Qualitas Energy of Heelstone Renewable Energy; and (viii) the €1.8bn sale of KKR’s stake in X-Elio to Brookfield.
- Providing tax advice on relevant transactions in the real estate sector, such as, advising: (i) Intu Properties and Canada Pension Plan Investment Board on the sale of Intu Asturias shopping centre (“Parque Principado”) to ECE European Prime Shopping Centre Fund II; (ii) EQT Exeter on its alliance with Grupo Moraval to develop five new student residences, in addition to the eight they already jointly promote and operate, an investment of more than €300m; (iii) Ares on the leasehold rights to 4 land portfolios with 46 properties in Madrid, as well as on the tender, investment structure, developer (San José) and project manager (Aedas) agreements, and financing (Project Vive); (iv) ActivumSG Iberia Fund on the sale of Hard Rock Madrid Hotel (€65m), and of Nobu Hotel Barcelona (building that is part of Roberts de Niro’s luxury hotels and restaurants portfolio - €80m); and (v) Davidson Kempner on the €227m sale, together with Palm Capital, of a logistics platform to Aberdeen Standard European Logistics Income Trust.
- Furthermore, Alejandro has also led the tax structuring of the most complex restructurings carried out in Spain, including, among others, the restructurings of: (i) Deoleo (advising CVC, as majority shareholder of the company and the company); (ii) Grupo Lecta (advising CVC, as majority shareholder of the company and the company); and (iii) Naviera Armas (advising the company).
- Advising Carlyle on the tax aspects of the acquisition of a 60% stake in technology consultancy company Seidor.
Along with this, Alejandro regularly advises clients across various sectors on tax matters. His clientele includes prominent names such as KKR, Ardian, Ares, Lone Star, Macquarie Group, EQT, Globalvía, Q Energy, Carlyle, DKP, ASG, PSP, OPT, and IFM, among others.
