Overview
Andrew is a partner in the firm’s financial sponsors practice and co-heads of our Capital Solutions practice. He advises private equity houses, investment managers, family offices and other financial sponsor clients on all forms of leveraged M&A, event-driven transactions, co-investments, capital raisings, disposals and portfolio company matters. As part of his Capital Solutions practice, Andrew also regularly advises companies, management teams, founders and other key stakeholders raising partnership capital across the equity, debt and hybrid spectrum.

Capital Solutions
- Sunotec: advising this leading European system integrator of large-scale renewable energy infrastructure, on a partnership structured equity investment from funds managed by Blackstone Tactical Opportunities.
- Brookfield-led consortium: advising on its preferred equity investment in GEMS Education, a UAE-based education and ancillary services provider, in one of the largest private equity investments in the region.
- The Carlyle Group: advising on a number of strategic capital investment opportunities, including investments in Sanoptis, Orifarm, Cordstrap and London Southend Airport.
- Goldman Sachs: advising on a number of structured investments across the equity and debt spectrum, including a preferred equity investment in Constructel Visabeira and the €1.55bn PIK financing, alongside Blackstone, of L’Occitane.
- A Middle East sovereign wealth fund: advising on a €600m indirect preferred equity investment in Froneri, a 50/50 joint venture between PAI Partners and Nestlé that manufactures and distributes Nestlé-branded ice cream products in Europe.
- PIMCO: advising in relation to a number of its structured investments, including Finance Ireland, Qualco and Hellenic Bank.
- Morgan Stanley Real Estate Investing: advising on its preference share investment into the real estate assets of Swedish landlord, SBB.
- Vista Global and Thomas Flohr: advising on the convertible preferred equity investment in Vista Global (the parent company of VistaJet) by Rhone Capital.

- The Carlyle Group: advising on a number of mandates, including:
- the acquisition and subsequent sale of Calastone.
- the acquisition of Barbon Insurance.
- the acquisition of a majority shareholding in PIB Group, supporting its roll-up strategy (including a combination with Barbon), and selling the business to Apax Partners.
- the take-private acquisition of Harwood Wealth Management Group and subsequent sale to Shackleton (including minority rollover)(ongoing).
- The shareholders of Amethyst Healthcare (including The Rohatyn Group) on the sale of Amethyst to Fremman Capital.
- Wendel Group: advising on its €625m investment in Globeducate alongside Providence Equity Partners.
- The shareholders of Addison Lee (including Cheyne Capital): advising on the sale of Addison Lee to ComfortDelGro for approximately £269m.
- Oaktree Capital Management and Cornerstone Investment Management on the sale of Proservice Finteco and its stake in Investment Funds Depository Services to Innova Capital
- Jacobs Holding: advising on the £2bn acquisition of Cognita, a global private K-12 schools group.
- DigitalBridge: advising on the £950m exit of Wildstone, the leading owner of independent outdoor digitised media infrastructure in the UK, to Antin Infrastructure Partners.
- Sellers (including Strategic Value Partners): advising on the c. £1.6bn sale of Cory Riverside Energy to a consortium led by Dalmore Capital.
- Macquarie Infrastructure and Real Assets and Wheelabrator Technologies: advising on the disposal of Wheelabrator’s UK waste-to-energy business.
