Overview

Philipp specialises in advising clients on complex national and international mergers and acquisitions, corporate restructurings, joint ventures as well as stock corporation and group law. Moreover, as a member of our ESG working group, he is involved in ESG-related M&A/corporate matters and supports clients in the necessary transformation processes.

Work highlights

• BASF: advising BASF in connection with the 1.5 bn. sale of its Brazilian decorative paints business, a leading provider of architectural paints in Brazil, to Sherwin-Williams.
• thyssenkrupp AG: advising on the preparation and implementation of the spin-off and subsequent listing of its marine business TKMS;
• HHLA: advising on the sale of a strategic minority stake in HHLA Container Tollerort GmbH (CTT), a wholly owned subsidiary of HHLA, to Cosco Shipping Ports Limited.
• STADA: advising on the acquisition of various consumer health brands from Sanofi to expand its portfolio in European markets including Belgium, Germany, Hungary, Spain, the UK and Sweden.
• Thyssen’sche Handelsgesellschaft: advising all shareholders on the sale of their shares in PROGAS Group, one of the leading liquefied natural gas distribution companies in Germany.
