Overview

Philippe is a counsel in the Amsterdam Litigation, Arbitration & Investigations practice. He focuses on high-stakes corporate and commercial litigation, with an emphasis on shareholder disputes, M&A-related disputes and directors’ duties. Philippe also regularly advises clients on complex corporate governance, corporate law, securities law and commercial law matters, including in the context of both contentious and non-contentious corporate transactions and restructurings. His clients include multinational corporations, listed companies, large joint ventures and substantial family-owned businesses, as well as their directors, officers and investors.

Philippe holds a PhD in corporate law and is actively involved in legal academia. He is a frequent speaker and guest lecturer, and regularly publishes on a broad range of corporate litigation, corporate governance and corporate law topics. Philippe is a fellow at Erasmus School of Law in Rotterdam and sits on the editorial boards of leading academic journals.

Representing various ultra-high net worth families in corporate governance disputes involving their family businesses, including in forced exit proceedings before the Enterprise Chamber of the Amsterdam Court of Appeal.
Representing various buyers and sellers in post-M&A disputes, including earn-out disputes, leakage disputes, closing accounts disputes and warranty claims.
Representing a listed company in litigation against a claimant seeking recognition as a shareholder on the basis of fraudulent bearer shares.
Representing the former CEO of a major European aerospace company in class action securities litigation.
Representing a listed company in litigation arising from a EUR 800 million liability claim brought in connection with the termination of commercial negotiations.
Representing the management of an aerospace company in summary proceedings to achieve a management buy-out despite opposition from the majority shareholder.
Representing a large US investment fund in a governance dispute with a limited partner, including advising on changes to the fund documentation to limit future exposure.
Representing a multilateral development bank in inquiry proceedings before the Enterprise Chamber of the Amsterdam Court of Appeal.
Advising a listed company on its redomiciliation to the Netherlands and the implementation of a dual share class structure.

Beyond the Office

Philippe regularly publishes in leading academic journals and edited volumes on corporate governance, corporate litigation and corporate law. He is a frequent speaker and guest lecturer, a fellow at Erasmus University Rotterdam, and sits on the editorial boards of Maandblad voor Ondernemingsrecht, a leading academic corporate law journal, and Actuele Rechtspraak Ondernemingspraktijk, a case law journal focusing on judgments of the Enterprise Chamber.

Philippe is a member of the Dutch Corporate Litigation Association and the Dutch Royal Association for Commercial Law.

Education and Qualifications

Philippe studied Dutch law, specialising in corporate and commercial law, at Maastricht University and holds a PhD in corporate law from Erasmus University Rotterdam.

He speaks Dutch and English.
