Overview

Stephen advises banks, sponsors and funds on fund finance and margin lending transactions. His fund finance experience spans subscription line facilities, NAV lending, back-leverage transactions and other structured lending arrangements for funds. On the margin lending side, he regularly acts for lenders and borrowers on pre- and post-IPO margin loan transactions and margin loans secured over a portfolio of listed assets.

Stephen plays a key role in the ongoing growth of the firm's fund finance and margin lending practice.

In 2018, Stephen spent nine months on secondment to the Structured Equities Transaction Group at Deutsche Bank and in 2021 he spent nearly a year on secondment to the Strategic Equities Solutions team at Citi.

Experience

Lottomatica: acting for the syndicate of lenders on a post-IPO margin loan for an Apollo entity secured over its retained stake following the listing of Lottomatica on Euronext Milan. It was the largest IPO in Europe of 2023 at the time of listing.
A multinational investment bank and financial services corporation: acting for the original lenders on a multicurrency margin loan for Starwood Capital Group over a large portfolio of listed shares.
Syndicate of lenders: advising the banks as original lenders on a €1.6bn multicurrency margin loan provided to two Luxembourg SPVs controlled by the sponsor, a Czech investment fund.
Nexi: advising the lenders on a margin loan for an entity jointly held by funds managed by Advent International, Bain Capital and Clessidra secured over its retained stake in Nexi.
The lenders: advising a syndicate of eight lenders on three capital call facilities totalling US$800m (one of the largest capital call facilities originated in the Middle East) for an alternative investment firm.
A leading credit fund: advising the lenders on a NAV based facility secured over the sponsor’s portfolio of loans and other investments.
A multinational investment bank and financial services corporation: advising on a PE infrastructure NAV facility secured against a diversified portfolio of European infrastructure assets held through seven holding company structures.
A leading European sponsor: advising the banks as original lenders on an up to €200m NAV-based term loan facility secured over an initial portfolio of 15 underlying private equity investments.
Supermarket Income REIT plc: advising the company in connection with its main corporate RCF and other financing needs.
Vantage Towers AG: advising the company in connection with its main corporate RCF and other financing needs.
A European corporate: advising on its €5.85bn acquisition bridge financing and €3bn revolving credit facility.
