Overview
Vasudha has significant experience advising clients on the U.S. federal income tax aspects of forming and investing in private funds, including credit and debt funds, private equity funds, real estate funds, and infrastructure funds, and advising clients with sensitive tax profiles, including tax-exempt investors, sovereign wealth fund investors and certain foreign pension funds. In addition, Vasudha specializes on the U.S. federal income tax aspects of private equity transactions, capital markets transactions, securitizations, risk transfer transactions, and mergers and acquisitions.
Vasudha also has particular expertise in secondary transactions. She regularly advises investors and sponsors in secondary transactions, including GP-led fund restructurings, GP stakes transactions, and primary investments.
Vasudha has written on U.S. federal income tax issues for various publications.
Experience
- Barings: advising on the formation of its most recent private credit fund focused on U.S. and European markets (ca. US$1.1bn at first close).
- A multinational investment bank and financial services holding company: advising on the establishment of private equity conduit funds offered to their clients.
- Macquarie Asset Management: advising on the raising of their private equity fund with a global investment strategy and direct lending and credit funds with U.S. and European focused strategies.
- DRA Advisors: advising on the formation of multiple value-add real estate funds focused on U.S. markets, each with commitments in excess of US$1bn.
- Aermont Capital: advising on the formation of its most recent real estate fund (and feeder funds) focused on European markets (ca. US$3bn at first close).
- A leading European global insurance company: advising on its investments in separately managed accounts with different managers established to invest in U.S. focused credit and infrastructure assets (commitments ranging from US$500m to US$1bn), and a range of direct lending and mezzanine lending funds, real estate debt and equity funds and private equity funds.
- Large U.S. corporate pension trusts: advising on investments in and co-investments alongside a range of private investment funds, and multiple secondary sales of portfolios of interests in private investment funds.
- A large Japanese bank: advising on the sale of 16 fund interests across top quartile European and US private equity funds to a secondaries fund managed by Coller Capital, representing total value of approximately US$470m.
- Petrobras Brasileiro S.A. and Petrobras America Inc. (PAI): advising on the formation of a joint venture between PAI and Murphy Exploration & Production Company USA (MEPU), a wholly owned subsidiary of Murphy Oil Corporation, pursuant to which MEPU and PAI contributed all of their current producing Gulf of Mexico assets to the joint venture.
