Overview
Jerônimo Soares de Sousa advises clients on project finance and project development in the energy (with a particular focus on renewable energy transactions) and infrastructure sectors as well as tax equity and tax credits purchase and sale transactions.
He represents sponsors, developers, borrowers, lenders, and preferred equity investors in financing complex energy and infrastructure projects, domestically and internationally, and in structuring and negotiating various secured and unsecured loan facilities, joint ventures, and tax equity investment structures.

Jerônimo's experience includes adivising:
- A leading solar and storage developer: advising in connection with three tax equity investments in a distributed generation portfolio of commercial-scale and community solar projects being developed by such developer throughout the U.S.
- One of the leading IPP companies in the United States: advising on seven tax equity investments in connection with four solar plus storage and two solar facilities as well as in three financing deals in connection with part of those projects.
- One of the largest investor-owned electric public utility holding companies in the United States: advising on the negotiation of the purchase agreement for a 224MW solar project being developed in Indiana.
- An infrastructure and energy investor: advising on its acquisition of a 50% interest in a holding company for various subsidiaries owning a 378MW portfolio of four hydro-powered electricity generating and storage facilities located in Tennessee and North Carolina as well as an 85-mile transmission line connecting the hydro-power assets to the Tennessee Valley Authority transmission system.
- A global developer: advising on the acquisition and financing of a portfolio of 28 solar projects in the U.S.
- Wind energy developer and investor: advising on its acquisition of a 199MW wind farm project located in Oklahoma.
- A solar developer and investor: advising on the negotiation of several tax equity commitments from certain banks.
- A renewable investor: advising on the negotiation of an approximately US$122m financing of a hybrid solar project in South Carolina.
- A joint venture: advising on the agreements to simultaneously purchase the tax equity Class A interests in a holding company and cause such holding company to sell the Project Company that owns a wind farm in Western Oklahoma.
- A sponsor and its affiliated companies: advising on a series of complex and layered transactions for the development, construction and operation of a 400MW solar project located in Indiana.
Education and qualifications
Jerônimo holds an LLM from the University of Virginia School of Law. He obtained his LLB from the Universidade Federal Fluminense in Rio de Janeiro, Brazil.
