Overview

Alessandra is a counsel specialized in corporate law advice to domestic and international clients, particularly on mergers & acquisitions and other extraordinary transactions. She gained nearly twenty years of experience in advising both corporate and PE clients in a wide range of complex M&A and corporate transactions, including takeovers, cross-border transactions and restructurings.

She was admitted to the Rome Bar in March 2011, and she is a fellow member of Canova Club (Milan, Rome), The Law Alumni Association - LAA (NYU School of Law) and the Italian Society of Construction Law (ISCL).

Professional experience

  • SNAM S.p.A.: advising on the acquisition of approximately 33% of Ecos S.r.l., which provides ship management and operational service agreement to OLT Offshore LNG Toscana.
  • ASTM S.p.A.: advising on the acquisition of 100% of Halmar International LLC.
  • Moncler S.p.A.: advising on the acquisition of 100% of Sportswear Company (Stone Island).
  • NB Renaissance Partners (Neuberger Berman's private equity business): advising on the acquisition of control of Hydro Holding S.p.A.
  • Fondo Italiano d'Investimento: advising on the sale of a 14.4% share in General Medical Merate S.p.A.
  • Neuberger Berman: advising on the acquisition of the entire capital of Fondo Italiano d'Investimento.
  • Rekeep S.p.A.: advising on general corporate matters and external growth by add-on acquisitions, both domestic (acquisition of control of Medical Device S.r.l.) and international (acquisition of control of Naproz SA, Poland).
  • NB Aurora: advising on its admission to listing on the MIV.
  • NB Renaissance Partners: advising on the takeover of Engineering S.p.A. and its delisting.
  • Manutencoop Società Cooperativa: advising on the acquisition from the minority shareholders of a 33.2% interest in Rekeep S.p.A. 
  • Società per azioni Esercizi Aeroportuali S.E.A. S.p.A.: advising management and business units on general corporate, commercial, antitrust and regulatory advice.
