Overview

Namrata has extensive experience advising domestic and international clients on private M&A transactions, joint ventures, strategic investments, corporate reorganisations and carve-outs, specialising in particular on complex cross-border private M&A.

Namrata also advises multiple listed companies in the UK across a number of sectors on their corporate governance and regulatory obligations. She has worked internationally having spent time previously working in India and United Arab Emirates.

Namrata is a member of Linklaters’ Generative AI (GenAI) Steering Committee and the Gender Equality Network (UK).

Work highlights

Namrata has led on, or played a significant role, in a diverse range of corporate and M&A deals. These include advising:

  • Cerberus on the sale by one of its affiliates’ interests in Worldwide Flight Services to SATS (Asia’s leading provider of food solutions and gateway services) for €2.25bn
  • Capita plc on the disposal of the education software solutions business to a newly formed company established by funds advised by Montagu Private Equity
  • Capita plc on the sale of its stake in Axelos Limited (a JV with the Cabinet Office) to PeopleCert
  • Lloyds Banking Group on its acquisition of Tesco Bank’s mortgage portfolio for a consideration of c.£3.8 billion
  • Lloyds Banking Group on its UK ring-fencing project, including a major carve-out involving a court-approved business transfer scheme of a FCA and PRA regulated business
  • Nestlé SA on its investment into IVC Evidensia Group (a leading veterinary services provider in Europe) and related joint venture arrangements
  • Nestlé SA on its purchase of Lily’s Kitchen (a premium pet food business)
  • Nestlé SA on the sale of its Nestlé Skin Health division to a consortium led by EQT and ADIA for CHF10.2 bn
  • a consortium of lenders on the restructuring of, and investment into, Addison Lee (a leading taxi-service provider in UK)
  • J Sainsbury plc on the aborted merger with Asda, a groceries supermarket in UK and consequential joint venture with Walmart Inc., the parent company of Asda

Professional experience

Namrata is also a member of Linklaters’ Gender Equality Network Steering Committee.

Education and qualifications

Namrata holds a degree of Bachelor of Arts and Bachelor of Laws (Hons.) from National Law School of India University, Bangalore (India). She has also successfully passed all the stages of the Qualified Lawyers Transfer Scheme (QLTS) to become a solicitor of England and Wales.
