Linklaters has advised ARDIAN on the structuring and financing aspects of the acquisition by its dedicated platform, ARDIAN Semiconductor, of a 90% stake in the German-listed company centrotherm international AG. The stake was acquired from Solarpark Blautal GmbH, which has reinvested a portion of its proceeds to remain a significant shareholder alongside ARDIAN.

Centrotherm is a leading player in the design and production of power semiconductor manufacturing equipment.

This acquisition marks the third investment for ARDIAN Semiconductor, a pioneering private equity platform dedicated to the sector. The transaction will support and accelerate Centrotherm's development as a leading European semiconductor equipment company.

Lise Fauconnier, co-head of ARDIAN Semiconductor & Senior Managing Director at ARDIAN, commented:

“We are honored to join forces with Centrotherm and Solarpark Blautal, which strongly aligns with our mission to transform proven European technology companies into global leaders in their market segments. We are committed to bringing the required resources and support to the company and its management team to help them realise the full potential of the company.”

Catherine Kremer, Partner at Linklaters, said:

“We are delighted to have guided ARDIAN through the corporate and tax complexities of this acquisition, which highlights the importance of the semiconductor and photovoltaic industry. Our long-standing partnership with ARDIAN enables us to deliver tailored solutions on their most strategic investments.”

The Linklaters team was led by Corporate Partner Catherine Kremer and Tax Partner Joakim-Antoine Charvet. They were supported by Corporate Managing Associate Nathalie Zurel and Tax Managing Associate Delphine Martel.
