Overview
Philip advises borrowers, arrangers, agents and lenders on a wide variety of domestic and cross-border finance transactions. He has extensive experience handling syndicated and bilateral credit facilities, acquisition financings, project financings, ship financings, general corporate financings and debt restructurings.
Work highlights
Philip has advised clients on a wide range of domestic and cross-border financings. These include advising:
- the arrangers in the refinancing of senior secured credit facilities of a large container terminal operator with operations in major ports across the United States
- CJ America, Inc. in the issuance of taxable revenue bonds to finance the construction of a manufacturing facility in California
- Macquarie Bank Limited on the financing of Waybill’s acquisition of Small Tube Products
- The Korea Development Bank as issuer of standby letters of credit to support the issuance of taxable revenue bonds to finance the construction of a tire production plant by Kumho Tire
- Morgan Stanley Senior Funding, Inc. on the acquisition financing in respect of a television software development company
- The Export-Import Bank of Korea, Korea Trade Insurance Corporation and a group of international commercial banks on the financing of a petrochemical plant in the southern United States
- Baring Private Equity Asia on the financing of its successive acquisitions of two trust, fiduciary, fund and corporate services companies
- Samsung C&T Corporation and Korea Southern Power Co., Ltd. on the project financing of the gas-fired Kelar IPP in Chile Crédit Agricole Corporate and Investment Bank on a senior credit facility to finance the borrower’s operations in the Port of Long Beach and its acquisition of cargo-lifting cranes
- Crédit Agricole Corporate and Investment Bank on a senior credit facility to finance the borrower’s operations in the Port of Long Beach and its acquisition of cargo-lifting cranes
- A Brazilian company with operations in offshore oil and gas exploration on over US$3 billion of senior and mezzanine debt facilities in relation to the financing of its drillship operations
- DISH Network Corporation on its acquisition of substantially all the assets of Blockbuster, Inc. in a court-approved auction under Section 363 of the Bankruptcy Code
Professional experience
Philip spent 8 months as a secondee attorney at the Korea Development Bank in 2012 and 6 months in the firm’s Hong Kong office in 2013.
Education
Philip holds a B.A. in economics from Yonsei University in Seoul, South Korea, an M.S. in economics with distinction from the London School of Economics and Political Science and a Juris Doctor from the University of Texas School of Law.
