Overview

Wanwisar (Nui) has extensive experience advising clients in Thailand and the South East Asian region on project financings, mergers and acquisitions and debt restructuring, with a particular focus on the energy and infrastructure sectors.

Wanwisar is widely acknowledged for her work assisting corporates, public companies and financial institutions with their investments. 

Work highlights

Wanwisar led on, or played a key role in, a wide range of major regional transactions. Highlights include advising:

  • First Korat Wind Company and KR Two Company on the THB6.4bn financing of wind power plants in Thailand, as well as on project contracts and on the acquisition by RATCHABURI and Chubu as well-known power developers; the regulatory approval obtained for the project allowed the projects to obtain project financing and set the market standard for similar financings of other projects. These were the first two wind power projects in Thailand, and the biggest in South East Asia.
  • Thaicom on the THB7bn refinancing of export credit and commercial bank facilities to finance the construction costs of five iPSTAR and Thaicom satellites
  • Bangkok Bank on securing regulatory approval to open a branch in Myanmar, one of the first nine foreign banks to be granted permission to open in the country
  • The Hongkong and Shanghai Banking Corporation, Siam Commercial Bank and other banks and financial institutions on the US$350m and THB81.9bn facility agreements for CP All to acquire Siam Makro
  • Charoen Pokphand Group, Worth Access Trading, Creative Light Investments and Charoen Pokphand Holding Company on the US$1.7bn onshore and offshore facilities to finance the acquisition of shares in True Corporation
  • Thai Union Frozen Products on their bridge financing for the acquisition of Bumble Bee, a major canned seafood company

 

Professional experience

Wanwisar assisted her school (Rajinee Bon School, a school under Royal Patronage) on a pro bono basis advising on a range of legal issues, including land titles and the review of legal documents.

Wanwisar regularly speaks at conferences involving issues such as project finance in Thailand and across Southeast Asia.

Education and qualifications

Wanwisar studied law at Chulalongkorn University and holds a master’s in law from the University of Washington.

She speaks Thai and English fluently.
