Linklaters Advises PRIO S.A. on US$700 Million Senior Notes Offering and Any-and-All Cash Tender Offer
A cross-border Linklaters team advised PRIO S.A., a leading independent oil and gas company in Brazil, in connection with the issuance of US$700 million in aggregate principal amount of 6.750% senior notes due 2030 by PRIO Luxembourg Holding S.à r.l., guaranteed by PRIO S.A., PRIO Comercializadora Ltda., PRIO Bravo Ltda., PRIO Forte S.A., and PRIO Tigris S.A.
Linklaters' work also included advising PRIO S.A. on a concurrent any-and-all cash tender offer that resulted in the repurchase of US$431 million of its previously issued 6.125% senior secured notes due 2026.
The Linklaters team was led out of São Paulo by Partner Matthew Poulter and included Senior Associate Thomas Lemouche and Staff Attorney Letícia Correia.
