Overview

Rupert is a Managing Associate based in our London office. He has a broad practice advising corporates and financial sponsors on corporate transactions including public and private M&A, joint venture transactions, carve-outs and recapitalisations. He also regularly advises listed companies on corporate governance matters and their ongoing obligations. Rupert is a core member of the relationship team for a number of the firm’s largest clients including AUB Group, Aristocrat Leisure, Bloomberg, Capita, Experian, Metro Bank, Nestlé and SoftBank Vision Fund.

Rupert also spent nine months on secondment to UK Government Investments Limited, which provides corporate finance and governance expertise within the UK Government. During his secondment he worked on a number of transactions, including the privatisation of UK Green Investment Bank plc and the concurrent successful defence of the related judicial review and the UK Government’s first securitisation of income-contingent student loans.

His recent experience includes advising:

  • Metro Bank on its £925m recapitalisation and, prior to that, the insertion of a new holding company by scheme of arrangement and on its IPO
  • Brookfield on its £2bn cash and partial share offer for Network International Holdings plc
  • SoftBank Vision Fund I on its US$16bn disposal of its stake in Arm Limited
  • AUB Group Limited on its acquisition of Tysers Insurance Brokers
  • Aristocrat Leisure Limited on its recommended £2.7bn takeover offer for Playtech plc
  • Nestlé S.A on the carve-out and CHF10.2bn sale of Nestlé Skin Health to a consortium led by EQT and Abu Dhabi Investment Authority
  • Bovis Homes Group plc (now Vistry Group) on its £1.1bn acquisition of the Linden Homes and Partnerships & Regeneration businesses of Galliford Try
  • Capita plc on its £701m recapitalisation rights issue
  • SwissRe on its £1.6bn acquisition of Guardian Assurance Limited from Cinven

Professional experience

  • Deutsche Post DHL on its acquisition of UK Mail Group PLC by way of scheme of arrangement.
  • The UK Government on the £2.3bn privatisation of the UK Green Investment Bank plc.

Education and qualifications

Rupert holds an undergraduate degree in History from Warwick University.

He completed the Graduate Diploma in Law and Legal Practice Course with the College of Law (now the University of Law) in order to convert to law.
