Overview
Leïla is a Counsel in the Tax & Investment Funds team in Paris.
Leïla has a dual practice:
- Tax transactional advice: Leïla advises corporates, private equity firms and investment banks on domestic and international tax law, especially on the tax structuring of cross-border corporate, banking, fund financing and capital markets transactions, including Leveraged Buyouts (LBOs) and joint ventures.
- Legal fund formation & Tax fund structuring: Leïla also has extensive experience in legal fund formation and tax structuring of funds in a variety of asset classes (private equity, infrastructure, private credit, real estate, co-investment, secondaries, etc.), mostly in France and Luxembourg, as well as in carried interest structuring.
Leïla was seconded in Ardian’s fund structuring team for half a year.

Tax transactional advice – Leïla’s experience notably includes advising:
- GBL on its acquisition of a majority stake in the Webhelp group, together with its co-founding shareholders and its management team.
- L'Oréal SA on the EUR 1bn exclusive negotiations in connection with the sale of 100% of The Body Shop International Plc.
- A global leading investment bank, on the tax structuring of a dividend recap on a French hotel group.
- A global leading insurer, on the tax structuring of various fund investments.
- A French private equity firm, on the tax structuring of sales of stakes in various French groups, including a leading European firm in herbal medicine.
Fund formation and Tax fund structuring – Leïla’s experience notably includes advising:
- ARDIAN, on the structuring, setting-up and fundraising of various French and Luxembourg funds, including their third generation of flagship real estate fund, their pan-European student housing fund, their fourth generation of private credit funds, the sixth generation of early secondaries fund of funds and a number of Separately managed account arrangements.
- Andera Partners, on the structuring, setting-up and fundraising of their fourth generation of mid-cap funds, their third generation of sponsorless mezzanine fund and their fifth generation of life science fund.
- A French fund manager, on the structuring, setting-up and fundraising of the second generation of their infrastructure equity fund and a “150-0 B ter” fund, as well as the second and fourth generation of their French private equity fund.
- A French infrastructure manager, on the structuring, setting-up and fundraising of their flagship Luxembourg infrastructure debt fund and their French ELTIF 2.0 eligible to life insurance.
- LBO France, on the structuring and setting-up of a number of French private equity funds.
- A leading French family office on several investments in French, Luxembourg and US funds.
