Overview
Magdalena advises sovereigns, corporates, financial institutions and supranationals in a range of corporate finance transactions and securities offerings, including 144A/Reg S high-yield and investment grade debt issuances, SEC-registered offerings and initial public offerings. Her practice also includes advising companies on digital assets, sustainability and sustainability-linked bonds, disclosure issues and compliance with US federal securities laws.
Magdalena started her legal career at a preeminent US law firm in London, where she primarily worked on high-yield debt transactions for European clients and USD debt offerings for supranational borrowers. She subsequently moved to Hong Kong SAR in 2018, focusing on a large variety of cross-border capital raising activities throughout the wider Asia-Pacific region.
Magdalena has extensive experience across Indonesia, Malaysia, India, Australia, Vietnam, Sri Lanka and Mongolia and has worked on some of the most high-profile and complex transactions in the region.

- Karoon Energy on its debut high-yield issuance of US$350mn 10.5% bonds due 2029.
- Republic of Indonesia on multiple SEC-registered issuances, including its global offering of US$4.3bn aggregate principal amount bonds to partially fund its Covid-19 relief and recovery efforts.
- the dealer managers on several liability management exercises by the Government of Mongolia.
- the joint lead managers on Mong Duong Finance Holdings B.V.’s debut 144A/Reg S offering of US$678.5mn 5.125% secured senior bonds due 2029 and the mandated lead arrangers and bookrunners on the US$402.7mn term loan and US$82mn debt service reserve letter of credit facilities to be made available to Mong Duong Finance Holdings B.V. This was a market first in Vietnam and also represented the first time a combination of project bonds and traditional bank debt was used to repackage an existing project financing deal in Vietnam. - PT Hutama Karya (Persero), an Indonesian infrastructure state-owned enterprise, as issuer on the establishment of its US$1.5bn GMTN programme and its first drawdown of US$600mn 3.75% senior unsecured bonds thereunder.
