Overview

Wanwisar (Nui) has extensive experience advising clients in Thailand and the South East Asian region on project financings, mergers and acquisitions and debt restructuring, with a particular focus on the energy and infrastructure sectors.

Wanwisar is widely acknowledged for her work assisting corporates, public companies and financial institutions with their investments, including those arising from the energy transition.  

Work highlights

Wanwisar led on, or played a key role in, a wide range of major regional transactions. Highlights include advising:

  • Hin Kong IPP, Thailand: advising the commercial banks on the financing of the 2 x 700MW Hin Kong natural gas-fired combined-cycle project located in Ratchaburi Province, Thailand.
  • GreenYellow solar project, Thailand: advising the sponsors on the portfolio financing ADB-financed GreenYellow Rooftop Solar Project of 62.2MW in Thailand – awarded Renewable Energy Deal of the Year by The Asset Triple A Sustainable Infrastructure Awards 2022.
  • Loc Ninh 1-3 Solar Projects, Vietnam: advising Bangkok Bank Public Company Limited (BBL) on the financing of two 200MW and one 150MW solar projects in Vietnam.
  • Gulf PD & SRC IPP, Thailand: advising the common lenders (including to ADB, JBIC and commercial lenders) on the long term limited-recourse project financing to fund the development and construction of the two 2,500MW natural gas-fired power plant under the IPP scheme in Thailand.
  • Domestic Gas to Power Project, Myanmar: advising PTT Exploration and Production Public Company Limited on the development of approximately 430km offshore and onshore gas pipeline and 600MW combined cycle power plant in The Republic of The Union of Myanmar.
  • Global Power Synergy Public Company Limited: advising on its agreement to acquire a 25% interest in the Taiwanese 595MW Changfang and Xidao offshore wind farm from Copenhagen Infrastructure Partners.
  • Sriracha Refinery, Thailand: advising Thai Oil PCL on tendering process and negotiating and finalising EPC contract and project management contract in a US$4bn expansion and upgrade of its existing plant in Chonburi province, Thailand.
  • High-Speed Rail Linked 3 Airport Project, Thailand: advising the Consortium of Charoen Pokphand Holding Company Limited and Partners and Eastern High-Speed Rail Linking Three Airport Co., Ltd (the project company subsequently established by the Consortium) on the US$7.5bn development of this high-speed rail project in Thailand.

Professional experience

Wanwisar assisted her school (Rajinee Bon School, a school under Royal Patronage) on a pro bono basis advising on a range of legal issues, including land titles and the review of legal documents.

Wanwisar regularly speaks at conferences involving issues such as project finance in Thailand and across Southeast Asia.

Education and qualifications

Wanwisar studied law at Chulalongkorn University and holds a master’s in law from the University of Washington.

She speaks Thai and English fluently.
