Linklaters advises Bureau Veritas on the disposal of 9% of its capital by Wendel and the repurchase of a block of its own shares

Following Wendel's announcement of its intention to sell around 9% of Bureau Veritas's capital for a total maximum amount of 1.1 billion euros through an accelerated placement with order book construction with institutional investors, Bureau Veritas proceeded to repurchase about 0.8% of its capital for an amount of 100 million euros as part of its share buyback program. The Lac 1 fund, managed by Bpifrance, acquired approximately 4% of the capital from Wendel during this operation, and Bpifrance concluded an agreement providing for its nomination to the board of directors of Bureau Veritas.

Wendel remains the principal shareholder of Bureau Veritas after the completion of this transaction, with approximately 26% of the share capital and 41% of the voting rights.
