Overview

Vasudha works on the U.S. federal income tax aspects of domestic and cross-border private equity transactions, capital markets transactions, bank financings, debt and equity offerings, as well as mergers and acquisitions. Vasudha also advises domestic and multinational clients on fund formation and operations, partnerships, real estate, FATCA and exempt-organization issues. 

Work highlights

  • Barings: advising on the formation of its most recent private credit fund focused on U.S. and European markets (approx. US$1.1bn at first close).
  • JP Morgan Private Bank: advising on the establishment of private equity conduit funds offered to its clients.
  • DRA Advisors: advising on the formation of multiple value-add real estate funds focused on U.S. markets, each with commitments in excess of US$1bn.
  • Aermont Capital: advising on the formation of its most recent real estate fund (and feeder funds) focused on European markets (approx. US$3bn at first close).
  • Allianz SE: advising on its investments in separately managed accounts with different managers established to invest in U.S. focused credit and infrastructure assets (commitments ranging from US$500m to US$1bn), and a range of direct lending and mezzanine lending funds, real estate debt and equity funds and private equity funds.
  • Large U.S. Corporate Pension Trusts: advising on investments in and co-investments alongside a range of private investment funds, and multiple secondary sales of portfolios of interests in private investment funds.

Professional experience

Prior to joining Linklaters, Vasudha worked as a manager at a Big 4 accounting firm and advised investment funds and investors, including tax-exempt investors and sovereign wealth funds, on the tax issues applicable to them, such as FIRPTA, REIT, UBTI and PFIC. Vasudha also advised multinational companies on the international tax issues that may arise on their cross-border reorganizations, including Subpart F, GILTI, FTC and foreign exchange gains.

Education and qualifications

Vasudha holds a B.A., LL.B. (Hons.) degree from Christ University, India, and a Masters of Law from Harvard Law School.

Vasudha is fluent in English, Hindi and Tamil.
