Linklaters’ advises Jacobs Holding on acquisition of Cognita

Linklaters has advised new client Jacobs Holding, a global investment firm, on the acquisition of Cognita, the leading global schools group, from Bregal Investments and KKR.

Cognita operates over 70 schools across 8 countries, employs 7,000 teaching/support staff and educates more than 40,000 children. The organisation was established in 2004 by Bregal with the acquisition of a single school in the UK and from there expanded successfully into Europe, Asia and Latin America.

Jacobs Holding was founded in 1994 by entrepreneur Klaus J. Jacobs and its sole economic beneficiary is the Jacobs Foundation, one of the world’s leading charitable foundations. The Foundation’s goal is to sustainably support future generations by improving their developmental opportunities, thus enabling them to become socially responsible members of society.

The Linklaters team was led by Financial Sponsor partners Alex Woodward and David Martin, supported by Managing Associates Andrew Lynch and Emily Cuzner. Leveraged finance partners Ed Aldred and Dan Gendron, together with Managing Associate Tom Waller, led on debt financing aspects and Tax partner Mavnick Nerwal also supported on the deal.
