Linklaters advises HelloFresh on the transformation of its legal form into a European Company

Berlin, 15.12.2016. Linklaters advised HelloFresh, the worldwide leading provider of recipe boxes, on the transformation of the company’s legal form into a European Company (Societas Europaea/SE). The new legal form, which reflects the international approach of the e-commerce company HelloFresh, was registered in the commercial register on 14 December 2016. Consequently, from now on, the company will operate under the name HelloFresh SE. As before the transformation, HelloFresh SE will be managed by a two-tier system consisting of a management board and a supervisory board.

HelloFresh currently operates in the USA, Great Britain, Germany, the Netherlands, Belgium, Australia, Austria, Switzerland and in Canada. In the three-month period ending 30 September 2016, HelloFresh delivered 22.1 million meals to about 850,000 subscribers. HelloFresh was founded in November 2011 and is headquartered in Berlin. It has further offices in New York, London, Amsterdam, Zurich and Sydney. The current group of investors includes Baillie Gifford, Insight Venture Partners, Phenomen Ventures, Rocket Internet and Vorwerk Direct Selling Ventures.
